Board of directors

Profdoc supports the concept of an effective board in line with the company's needs for expertise, capacity, balanced decision-making and the ability to independently evaluate the company's activities and the conduct of its management.

The board consists of 4 directors, where two represents main shareholders and two are independent of the company's main shareholders. None of the board members are part of the company's executive management and no board member has been employed by the company in the recent past. There are no family relationships or other cross-relationships with members of the board and the company's chief executive.

Jon Bjørtuft (44)

Chairman of the Board since October 2002. Bjørtuft founded the Rosenlund companies in 1993 and he is now the CEO of Rosenlund ASA. He has previously worked for Storebrand Finans. Rosenlund ASA controls 1.500.000 shares in Profdoc ASA through financial instruments, while Bjørtuft personally does not own any shares or options.

Rana Ersgård (25)

Member of the Board since October 2007. She graduated from the medical informatics programme at Karolinska Institutet/Royal Insitute of Technology (KTH) in Sweden in 2005. She currently works in sales and marketing in Profdoc Sweden. The board considers Ersgård to be independent from the company's main shareholders. She owns no shares or options in Profdoc ASA.

Einar J. Greve (47)

Member of the Board since April 2002. He graduated from the University of Oslo with a law degree (cand. jur.) in 1987. After being head of the legal department at the Oslo Stock Exchange, he joined Wikborg Rein in 1992 where he became partner in 1993. Greve is a board member and chair in a number of firms. The board considers Greve to be independent from the company's main shareholders. He owns no shares or options in Profdoc ASA.

Patrick Sandahl (40)

Member of the Board since October 2007. He graduated from the University of Oslo with a law degree (cand. jur.) in 1994. He has previously worked in public and private sector enterprises and for many years as partner and investment manager in Telenor Venture. He is currently Investment Director/ Managing Director of Dyvi AS /Dyvi Invest AS. Dyvi Invest AS owns 1.109.400 shares in Profdoc ASA, while Sandahl personally does not own any shares or options.

Silvija Seres (37)

Member of the Board since April 2007. She has a Ph.D. in computer science from Oxford University and holds an MBA from INSEAD. She has previously worked in academic research and as a professor at Dar El Hekma Univeristy, Saudi-Arabia. Seres is currently Director of corporate development in Fast Search and Transfer ASA. The board considers Seres to be independent from the company's main shareholders. She owns no shares or options in Profdoc ASA.

Eigil S. Spetalen (40)

Member of the Board since April 2001. He is educated at the Norwegian Institute of Technology, where he received a M.Sc. degree in mechanical engineering in 1991. After being a fund manager he is currently a professional investor. He owns 1.000.000 shares and no options in Profdoc ASA.

Meg Tiveus (65)

Member of the Board since October 2007. She graduated from Stockholm School of Economics in 1967 and has held several senior management positions throughout her career. She currently serves as a board member of several listed companies. The board considers Tiveus to be independent from the company's main shareholders. She owns no shares or options in Profdoc ASA
